1. Introduction

These Website Terms & Conditions (“Terms”) govern access to and use of the Alph4digiTEC website, including its pages, content, forms, communications, software descriptions, product information and other materials made available through the website. By accessing or using the website, you agree to these Terms. If you do not agree, you should not use the website.

2. Company information

The website is operated by Alph4digiTEC FZE (“Alph4digiTEC”, “we”, “us” or “our”), a Free Zone Establishment registered with Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates, under licence number 4431346.01.

Alph4digiTEC’s licensed activities include computer systems and software designing, innovation and artificial intelligence research and consultancy, IT consultancy and IT services, marketing services and digital marketing. The licence is issued by Sharjah Publishing City Free Zone Authority and is subject to applicable authority rules, regulations and policies.

3. Alph4digiTEC and Alpha DigiWallet

Alph4digiTEC is a technology company and the owner of Alpha DigiWallet.

Alpha DigiWallet is a technology-based payment orchestration solution. It provides software, API connectivity, workflow, routing, integration, merchant-facing tools and related technology intended to help businesses connect with and manage interactions across third-party payment service providers, banks, acquirers, processors and other payment partners.

Alpha DigiWallet is not itself a bank, payment institution, payment service provider, card issuer, merchant acquirer or money-transfer provider. Alph4digiTEC does not hold itself out as providing regulated financial services merely by providing the Alpha DigiWallet technology.

Where a transaction or service requires a regulated financial or payment service, that service is provided by the applicable third-party bank, payment service provider, acquirer, processor or other appropriately authorised provider, under the terms applicable to that provider.

Nothing on this website should be interpreted as stating that Alph4digiTEC or Alpha DigiWallet is licensed or authorised to provide a regulated payment service unless a specific licence or authorisation is expressly identified.

4. Website information

Website content is provided for general information about Alph4digiTEC, its technology capabilities and products, including Alpha DigiWallet. Content does not by itself constitute a binding offer, financial advice, legal advice, payment service agreement, partnership agreement or other contractual commitment.

Product features, integrations, supported payment methods, jurisdictions, currencies, settlement arrangements and other capabilities may vary by customer, third-party provider, jurisdiction and contractual arrangement.

5. Separate Alpha DigiWallet agreements

Use of Alpha DigiWallet, access to APIs, merchant onboarding, KYB processes, payment processing arrangements, transaction services, settlement arrangements, fees and other commercial services may be subject to separate agreements, order forms, service schedules, statements of work or platform terms.

Where separate written terms apply to a particular service, those terms will govern that service to the extent of any inconsistency with these website Terms.

6. Third-party payment providers and services

Alpha DigiWallet may connect to or interact with third-party payment service providers, banks, acquirers, processors, alternative payment method providers, technology providers and other service providers. Alph4digiTEC does not control the availability, performance, approval decisions, transaction policies, settlement timing, fees, reserves, chargebacks, declines, outages or regulatory status of third-party providers.

A merchant or other customer may be required to enter into separate contractual arrangements with one or more third-party providers. Such providers may apply their own onboarding, KYB/KYC, AML/CFT, transaction monitoring, risk, reserve, settlement, refund and chargeback requirements.

7. Permitted use

You must use the website lawfully and must not:

• Attempt to gain unauthorised access to the website, servers, APIs or connected systems.
• Use the website or its content for fraudulent, unlawful, deceptive or harmful activity.
• Upload or transmit malicious code, viruses or harmful material.
• Interfere with the security, availability or operation of the website.
• Scrape, copy, reproduce or commercially reuse substantial website content without prior written permission.
• Misrepresent your identity, authority, business, regulatory status or relationship with Alph4digiTEC.

8. Intellectual property

All website content, including text, branding, graphics, layouts, documents, logos, icons, software descriptions and other materials, is owned by Alph4digiTEC or used under appropriate licence. No intellectual property rights are transferred to you by your use of the website. You may not reproduce, distribute, modify, publish or commercially exploit website material without prior written permission, except for reasonable internal business reference.

The website may contain links to third-party websites, platforms, documentation or services. Alph4digiTEC is not responsible for the availability, accuracy, content, security, terms or privacy practices of third-party websites or services.

11. No guarantee of payment outcomes

Information about Alpha DigiWallet does not constitute a guarantee that any payment will be authorised, completed, settled or available within a particular period. Payment outcomes may depend on third-party providers, payment methods, fraud and risk controls, merchant eligibility, regulatory requirements, network availability and other factors outside Alph4digiTEC’s control.

12. Limitation of liability

To the fullest extent permitted by applicable law, Alph4digiTEC shall not be liable for indirect, incidental, special, consequential or punitive loss or damage arising from or relating to access to, use of, or reliance on the website or its content.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

13. Compliance

Users are responsible for ensuring that their own use of the website, technology and any services accessed through it complies with laws and regulations applicable to them. Alph4digiTEC may restrict access or decline to provide technology or support where reasonably necessary for security, legal, contractual, compliance or risk-management reasons.

Where regulated payment or financial services are involved, the relevant third-party provider’s regulatory permissions and contractual terms will apply to those services.

14. Privacy

Personal data is handled in accordance with the Alph4digiTEC Privacy Policy, which forms part of the website’s legal framework. The Privacy Policy explains the categories of data collected, purposes of processing, use of service providers, international transfers, retention, security and applicable data-subject rights.

15. Changes

We may update these Terms from time to time by publishing a revised version on the website. The updated version will state its effective date. Continued use of the website after an updated version becomes effective constitutes acceptance of the revised Terms, to the extent permitted by law.

16. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Sharjah, except to the extent mandatory law provides otherwise. Subject to any mandatory jurisdictional requirements, disputes arising from these Terms shall be subject to the competent courts of Sharjah, United Arab Emirates.
